The short version
This summary is here to help you read the terms. It is not a substitute for them.
• Pruply shows you two answers: Covered this week, and Safe to pay yourself. It shows its working.
• Pruply is information only. It is not financial, tax or legal advice. Check the figures and talk to a professional before big decisions.
• In the pilot, your money data stays on your device. We do not receive your transactions. You can export or delete it at any time.
• Pruply never holds or moves your money, never charges card fees, and never sells your data.
• The pilot is free. You may choose to pay an optional, fully refundable founding deposit. Any founding membership afterwards is your choice and you can cancel any time.
1. About these terms
1.1 These terms are an agreement between you and [Pruply Limited, company number] of 9 Glenpark Avenue, Westown, New Plymouth 4310 (Pruply, we, us). Our contact email is hello@boldpopulation.com.
1.2 These terms apply to the Pruply Lite founding pilot (the pilot) and to any paid founding membership you later choose to take up.
1.3 Our Privacy Policy explains how we handle personal information. It forms part of these terms.
1.4 You accept these terms in two steps:
(a) on our sign up form, by ticking the box that reads “I have read the privacy policy and agree to the pilot terms”; and
(b) on the first screen of the app, by ticking the box that reads “I agree to the pilot terms and privacy policy, and understand Pruply is information only and my figures stay on this device.”
1.5 If you do not agree, please do not sign up or use the app.
1.6 To join the pilot you must be 18 or over, live in New Zealand, and be in business, for example as a self employed lash artist or beauty professional.
2. What Pruply is, and what it is not
2.1 Pruply is a money clarity app for self employed women in beauty in New Zealand, starting with lash artists. It is designed with wāhine Māori first.
2.2 Pruply shows two answers: Covered this week, which looks at whether your known costs for the week are covered, and Safe to pay yourself, which estimates an amount you could take out of the business based on the figures you give it. Pruply shows how it worked out each answer.
2.3 Pruply is information only. It is not financial advice, tax advice, legal advice or accounting advice. It is not a recommendation about any financial product. We are not your accountant, tax agent, lawyer or financial adviser.
2.4 The answers are only as good as the figures you enter or import. They are estimates. They may not reflect your full tax position, GST, ACC levies, debts or personal circumstances.
2.5 You are responsible for your own decisions. Please check the figures and get advice from a qualified professional before making important money, tax or business decisions.
2.6 Pruply never holds or moves your money. It never charges card fees. It never sells your data.
3. The founding pilot
3.1 The pilot is expected to run from 26 October 2026 to 18 December 2026. We may shorten or extend it. We will tell you by email if we do.
3.2 Pruply Lite is an early version. It may contain errors, change often, or be unavailable at times. That is part of why we are running a pilot.
3.3 During the pilot we may ask you to answer short weekly check ins (for example, was the number right, yes or no), give ratings, and share comments. Taking part is voluntary. You can skip any question.
3.4 Joining the pilot does not commit you to paying for anything, either during the pilot or later.
4. Your money data stays on your device
4.1 In the pilot, the money figures you type in, and any bank statement CSV file you download from your own internet banking and import, are processed and stored on your device only, in your browser storage. Pruply does not receive your transactions.
4.2 The pilot does not ask for your bank login and does not connect to your bank. There is no open banking connection in the pilot.
4.3 You can export your data, and delete it, at any time from within the app.
4.4 Because your data lives on your device:
(a) clearing your browser data, using private browsing, changing browser or changing device may delete it;
(b) we cannot see it, back it up or recover it for you, so please export it regularly; and
(c) anyone who can use your device may be able to see it, so keep your device locked and avoid shared devices.
4.5 Only import statements for accounts you are entitled to use. Please do not import information about other people that you do not need.
4.6 We plan to offer an optional open banking connection in a later version, through Akahu, an accredited New Zealand provider under the Customer and Product Data Act 2025. If we do, we will ask for your separate consent at that time and update these terms and our Privacy Policy first. Nothing will connect to your bank unless you choose it.
5. Access and accounts
5.1 We may invite you into Pruply Lite through an account on a third party platform. At present the pilot app is hosted as a published page on claude.ai, a platform run by Anthropic. To use it you may need to accept that platform's own terms and privacy policy.
5.2 We do not control third party platforms and are not responsible for their availability, terms or how they handle data under their own policies.
5.3 Please keep your login details secure, and do not share your access with anyone else. Tell us promptly at hello@boldpopulation.com if you think someone else has used your access.
5.4 Please give us accurate sign up details and keep them up to date.
6. Fees and founding membership
6.1 The pilot is free. From [date] we may invite you to pay an optional, fully refundable founding deposit of [NZ$29] that credits your first paid month. You can get a full refund at any time before the paid app is available, and we will refund it automatically if the paid app is not available by [date].
6.2 Paying a founding deposit is not a condition of taking part in the pilot. To ask for a refund, email hello@boldpopulation.com. Refunds go back to the card you paid with. If you do not take up a founding membership when the paid app is available, you can ask for your deposit back at that point too.
6.3 When the pilot ends, we may offer you a founding membership. If offered, it will be Pruply Core at [NZ$29] a month plus GST for 12 months from your first paid month. After those 12 months, the then standard price applies. The proposed standard prices are Core at [NZ$39] a month plus GST and Pro at [NZ$69] a month plus GST.
6.4 Proposed prices may change before launch. We will show you the actual price, and any GST, before you agree to pay.
6.5 Founding membership is opt in. Your pilot access, and any founding deposit, do not turn into a monthly paid plan automatically. Monthly charges only start if you actively choose a paid plan.
6.6 Paid plans are monthly, charged in advance. There is no lock in and no cancellation fee. You can cancel any time, and your plan will end at the end of the month you have already paid for. We do not refund part months, unless the law requires it or we have not provided the service as promised.
6.7 We may change prices with at least [30 days] notice by email. If you do not want to pay the new price, you can cancel before it takes effect. We do not promise that any price is fixed forever.
6.8 Prices are shown excluding GST. GST will be added where it applies, and we will give you a tax invoice. Our GST number is [GST number].
6.9 Deposits and payments are processed by Stripe. Pruply never sees your full card details.
7. Acceptable use
7.1 When using Pruply you must not:
(a) break any law, or use Pruply for fraud, money laundering or to mislead anyone;
(b) try to access other users' information or any part of Pruply you are not invited into;
(c) copy, reverse engineer, resell or build a competing product from Pruply, except as the law allows;
(d) introduce viruses or harmful code, or try to disrupt or overload Pruply or the platforms it runs on;
(e) upload or share content that is abusive, discriminatory or infringes someone else's rights; or
(f) include your clients' personal details in feedback or comments you send us.
8. Your feedback
8.1 Your feedback shapes Pruply, and we are grateful for it. You give us a free, permanent, worldwide right to use, copy and adapt any feedback, ideas or suggestions you give us to improve and develop Pruply. You do not have to give feedback.
8.2 We will not publish your name, business name or a quote attributed to you without your permission. We may share feedback in a form that does not identify you.
9. Intellectual property
9.1 We, or our licensors, own Pruply, including its software, design, content, methods and the Pruply name. Nothing in these terms transfers that ownership to you.
9.2 We give you a personal, non exclusive, non transferable right to use Pruply for your own business while these terms apply.
9.3 Your money data belongs to you. We do not claim any ownership of it.
10. Privacy
10.1 We handle personal information under the Privacy Act 2020 and our Privacy Policy. In short, we collect your sign up details, any optional answers you choose to give, and your weekly check ins. Check ins never include your dollar figures. We do not receive your transactions in the pilot. We do not sell data and we do not use your information to train AI models.
11. Messages
11.1 During the pilot we will email you about the pilot, your access and these terms. These are service messages. We do not send marketing texts in the pilot, and we will only send marketing emails if you have agreed to receive them. Every marketing email will have a working unsubscribe link.
11.2 A later version of Pruply may include features that let you send messages to your own clients, such as reminders. If it does, you will be responsible for having your clients' consent and meeting the Unsolicited Electronic Messages Act 2007, and we will update these terms before that feature is available.
12. Availability and changes to Pruply
12.1 We will take reasonable care in providing Pruply. Because the pilot is an early version, we do not promise that it will be uninterrupted, error free or available at any particular time.
12.2 We may add, change or remove features. If a change removes something important to you as a paying member, we will give you reasonable notice and you can cancel.
13. Suspension and ending
13.1 You can stop using Pruply at any time. You can delete your money data from the app, and ask us to delete your sign up details and feedback by emailing hello@boldpopulation.com.
13.2 We may suspend or end your access if you seriously or repeatedly break these terms, if your use puts other users, Pruply or the platforms it runs on at risk, or if the law requires it. Where it is reasonable to do so, we will tell you why first and give you a chance to fix the problem.
13.3 We may end the pilot, or the service, by giving you at least [14 days] notice by email. If you have paid in advance for a period we no longer provide, we will refund that part, and we will refund any founding deposit in full.
13.4 If your access ends, please export anything you want to keep. Data on your device stays there until you delete it. We keep our records as set out in the Privacy Policy.
14. Your consumer rights
14.1 Pruply is designed for people in business. When you confirm at sign up that you are acquiring Pruply for the purposes of your business, you and we agree that, to the extent allowed by section 43 of the Consumer Guarantees Act 1993, that Act does not apply. We both agree that this is fair and reasonable, because Pruply is a business tool, you are in trade, the pilot is free, and the founding membership can be cancelled any time.
14.2 If you acquire Pruply other than in trade, for example only to manage personal or household money, the Consumer Guarantees Act 1993 applies and nothing in these terms limits your rights under it.
14.3 Nothing in these terms limits any right you have under the Fair Trading Act 1986 that cannot be limited. We intend every term to be fair. These terms may be a standard form small trade contract, and the unfair contract terms rules in the Fair Trading Act 1986 apply to them. If a term is found to be unfair or unenforceable, the rest of these terms still apply.
15. Liability
15.1 Pruply is information only. We are not responsible for decisions you make using it, or for loss caused by figures you entered or imported being wrong or incomplete.
15.2 We are not responsible for loss of data stored on your device, or for the acts or failures of third party platforms we do not control, except to the extent the loss is caused by our own failure to take reasonable care.
15.3 We are not liable for indirect or consequential loss, or for loss of profit, revenue or opportunity, however caused.
15.4 Our total liability to you under or in connection with these terms is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim, or [NZ$100].
15.5 Nothing in these terms limits or excludes any liability that cannot be limited or excluded by law, including under the Consumer Guarantees Act 1993 where it applies and the Fair Trading Act 1986, or our liability for fraud or wilful misconduct.
16. Changes to these terms
16.1 We may update these terms, for example to reflect new features, open banking, paid plans or changes in the law. We will email you at least [14 days] before a change takes effect, and explain what is changing.
16.2 If you do not agree with a change, you can stop using Pruply, or cancel your paid plan before the change takes effect, with no cancellation fee. Changes will not apply to anything that happened before they took effect.
17. Disputes and general
17.1 If you have a concern, please email us at hello@boldpopulation.com first. We will reply within [10 working days] and try in good faith to resolve it with you.
17.2 If we cannot resolve it together within 20 working days, either of us may suggest mediation by an agreed mediator in New Zealand. Nothing stops you going to the Disputes Tribunal or a court, or making a complaint to a regulator.
17.3 These terms are governed by New Zealand law. The New Zealand courts and tribunals have jurisdiction.
17.4 We may transfer these terms to Pruply Limited, or to another entity that takes over Pruply, as long as your rights are not reduced. We will tell you if we do. You may not transfer these terms without our agreement.
17.5 These terms, together with our Privacy Policy and any written founding membership offer you accept, are the whole agreement between us about Pruply. If we do not enforce a term straight away, we can still enforce it later.
17.6 We will send notices to the email address you gave us. You can send notices to hello@boldpopulation.com.
